Numecent Trademark Usage Guidelines

Numecent’s trademarks, service marks and logos (“Trademarks”) represent intellectual property rights owned by Numecent and as such are valued assets of Numecent. These Trademarks, whether registered or unregistered, must be used in accordance with these Trademark Usage Guidelines (“Guidelines”).

Any unlicensed use by you of a Numecent Trademark must be authorized by applicable law without a license and requires proper acknowledgment and strict compliance with the below Guidelines. Any other use of a Numecent Trademark requires an appropriate license agreement. Requests for a trademark license may be submitted to legal@Numecent.com. By using any Numecent Trademarks, you are acknowledging that Numecent is the sole owner of the Trademarks and agreeing not to interfere with Numecent’s rights in the Trademarks, including challenging Numecent’s use, registration of, or application to register such Trademarks.

You agree that you will not harm, misuse, or bring into disrepute any Numecent Trademarks and that the goodwill, if any, derived from your use of any Numecent Trademarks exclusively inures to the benefit of and belongs to Numecent. You may not use any Numecent Trademarks in metatags, search fields, hidden text, or any other form that has the purpose or effect of diverting or confusing consumers without Numecent’s prior written permission.

Other product names or trademarks, including those appearing on Numecent’s websites, that are not owned by Numecent are for identification purposes only and may be the registered or unregistered trademarks of their respective owners. No license or right is granted by Numecent by implication, estoppel or otherwise to any such third-party names or trademarks or to the Numecent Trademarks hereby.

Applicability of Guidelines

These Guidelines apply to Numecent employees, customers, licensees, consultants, outside vendors, and other third parties. Note that if you are a licensee of a Numecent Trademark, the license agreement that you signed with Numecent may contain specific usage guidelines that differ from those contained within these Guidelines, and in such case you should follow those specific guidelines provided within such license agreement. If you are a licensee, but have been provided no special guidelines, then follow these Guidelines.

List of Numecent Trademarks

The list of Numecent Trademarks provided here may be updated with new information from time-to-time and without notice and should be referred to regularly. Note that the list may not be comprehensive, and the omission of a Numecent Trademark from the list does not represent any waiver of any intellectual property rights of Numecent in or to such Trademark. If in doubt about whether or not a particular name, mark or logo is a Numecent Trademark, or if you have any questions about the use of Numecent’s Trademarks, contact Numecent’s Legal Department for assistance.

Referring to Numecent products and services

When referring to Numecent products or services use the applicable Trademark, and ensure that such references: (i) are truthful, fair, and not misleading; and (ii) comply with these Guidelines. Note that these Guidelines may be modified by Numecent from time-to-time in its sole discretion. Specifically, ensure that you:

  • Follow the directives within these Guidelines;
  • Use the appropriate trademark symbol and trademark acknowledgment of Numecent’s ownership of the particular Trademark;
  • Do not incorporate Numecent Trademarks into your own product trademarks, service marks, logos, or company names; and
  • Do not adopt marks or logos that are confusingly similar to any Numecent Trademarks.

 Use of Numecent Trademarks

When using a Numecent Trademark, ensure that you:

  • ALWAYS use such Trademark as an adjective, accompanied by an appropriate noun (e.g. “Numecent® Cloudpaging is an excellent product”). Do NOT use a Trademark as a noun (e.g. “Numecent® is an excellent product”). Do NOT pluralize a Trademark or make it possessive. Do NOT combine a Trademark with other words, symbols, or numbers, either as one word or with a hyphen. Do NOT abbreviate a Trademark;
  • ALWAYS use the proper spelling and the proper trademark symbol (®, ™ or SM as applicable). For the trademark symbol, use the superscript format, but if this is not possible, then use parentheses ((R), (TM) or (SM) as applicable); and
  • ALWAYS use Numecent Trademarks in the way they were intended to be used. Do not use Numecent Trademarks for products or services for which they were not originally intended. Do not alter a Numecent Trademark in any way.

Numecent’s trademarks, service marks and logos (“Trademarks”) represent intellectual property rights owned by Numecent and as such are valued assets of Numecent. These Trademarks, whether registered or unregistered, must be used in accordance with these Trademark Usage Guidelines (“Guidelines”).

Identification of Numecent Trademarks

In letters, memos, press releases, white papers, advertising, slides, foils, video, and other multimedia presentations, ensure that you:

  • Properly identify (with ®, ™ or SM as applicable) each Numecent Trademark at the most prominent use (often in the headline) and again in the first occurrence. For presentation graphics, each Numecent Trademark should be designated with the proper trademark symbol on each page, slide, and foil;
  • In newsletters, magazines, and publications containing multiple articles, properly identify each Numecent Trademark in the first occurrence in the Table of Contents, in headlines and in the first occurrence in every article in which it is used;
  • In brochures, financial reports, books, white papers, data sheets, technical documentation, and other bound documents, properly identify each Numecent Trademark in the first occurrence in the Table of Contents, in headlines, and in the first occurrence in text;
  • In all charts and graphs, properly identify each Numecent Trademark, as such charts and graphs could become separated, copied and used independently.

  • Cloudpaging ®

Acknowledgement of Numecent Trademarks

Ensure that you include a proper trademark ownership notice that identifies each Numecent Trademark used as being owned by Numecent Inc. (e.g. “Numecent and the Numecent four globe logo are trademarks of Numecent Inc.”)

Use of “Numecent” as a Trademark vs. Trade name

“Numecent” is not only a trademark used to identify Numecent’s products and services; it also serves as Numecent’s company name. Therefore, the word “Numecent” is generally used in two (2) different ways: (i) as a trade name to identify Numecent Inc. the company; or (ii) as a trademark to identify its various products. “Numecent” is used as a trade name when Numecent Inc. the company is taking some action or referenced as having some attribute (e.g. “Numecent announced its earnings for this quarter”). When referenced as a trade name, there is no need to include a trademark symbol after “Numecent”. “Numecent” is used as a trademark when Numecent is an adjective used as a brand name for its products (e.g. “Numecent® products are designed for enterprise customers and independent software vendors”). When referenced as a trademark, include the proper trademark symbol after “Numecent”.

Logo Usage Guidelines

When using any of Numecent’s logos, you agree to the following:

  • You may use the logo(s) only in the exact form provided by Numecent and only to accurately and actively link from a website that is under your control to the home page of numecent.com and for no other purpose.
  • You may not incorporate the logo(s) into any other logo or design.
  • You may not display the logo(s) on any website that disparages Numecent or its products or services, infringes any Numecent intellectual property or other rights, or violates any law or regulation.
  • No other logo or design element should appear within 0.5 inches of the Numecent logo.
  • At Numecent’s direction, you will immediately remove the logo(s).
  • Your limited right to use the logo(s) does not constitute a grant of any other right or license. All other rights are reserved by Numecent.
  • Numecent disclaims all warranties, express and implied, regarding the logo(s), including warranties against infringement. You agree to indemnify Numecent from and against any and all claims and liabilities arising out of your use of the logo(s).
